Terms and Conditions

These Terms and Conditions (“Terms”) govern the use of the services provided by Mad X Global Technologies Private Limited, a company incorporated under the Companies Act, 2013, having its registered office in Noida, Uttar Pradesh, India (hereinafter referred to as “Company”, “we”, “our”, or “us”).

These Terms apply to the use of our SaaS product Index Render (the “Service”).

By accessing or using Index Render, you agree to be bound by these Terms.

1. Definitions

• Service means the SaaS-based rendering, indexing, caching, automation, or related services provided under the brand name Index Render.
• User / Customer means any individual or entity using the Service.
• Subscription Plan means the selected pricing plan with associated features and limits.
• Confidential Information means all proprietary, technical, or business information disclosed by either party.

2. Eligibility

• You must be at least 18 years of age.
• You must have authority to bind your organization (if applicable).
• You must provide accurate and complete registration information.

3. Services Provided

Index Render is a cloud-based SaaS platform that provides:

• Rendering and indexing services
• Automated caching mechanisms
• Performance optimization
• Analytics and reporting features
• Additional features under selected subscription plans

We reserve the right to modify, upgrade, or discontinue features at our discretion.

4. Account Registration

• Users must create an account to access the Service.
• You are responsible for maintaining confidentiality of login credentials.
• You agree to notify us immediately of unauthorized access.

5. Subscription, Fees & Payments

• Services are offered on monthly or annual subscription basis.
• Fees are payable in advance.
• All payments are non-refundable unless otherwise stated.
• Applicable taxes (including GST) shall be borne by the User.

Failure to pay may result in suspension or termination of services.

6. Acceptable Use

You agree NOT to:

• Use the Service for unlawful purposes.
• Attempt to reverse-engineer or hack the platform.
• Upload malicious scripts or malware.
• Overload infrastructure beyond subscribed limits.
• Violate intellectual property rights.

7. Data & Privacy

• You retain ownership of your data.
• We process data solely to provide the Service.
• We implement reasonable security measures.

Data handling practices are governed by our Privacy Policy.

8. Service Availability & SLA

• We strive for high uptime but do not guarantee uninterrupted availability.
• Scheduled maintenance may occur with prior notice.
• Force majeure events are excluded.

9. Intellectual Property

All rights, title, and interest in Index Render remain the exclusive property of Mad X Global Private Limited. Users receive a limited, non-exclusive license to use the Service.

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information and use it solely for purposes under this agreement.

11. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for indirect or consequential damages. Total liability shall not exceed the amount paid in the preceding three (3) months.

12. Indemnification

You agree to indemnify and hold harmless Mad X Global Technologies Private Limited from claims arising from misuse of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your account for violation of Terms or non-payment. Upon termination, access ceases and dues remain payable.

14. Force Majeure

We are not liable for failure due to events beyond reasonable control including natural disasters, internet outages, government restrictions, or cyber-attacks.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts in Noida, Uttar Pradesh shall have exclusive jurisdiction.

16. Modifications

We reserve the right to modify these Terms at any time. Continued use constitutes acceptance of updated Terms.
